About These Terms
Unless otherwise agreed, these terms of business apply to any future instructions from you. Any
quote/fee proposal we provide you will remain open for a period of three months, after which we may amend them to reflect current market conditions. This agreement is to be read with the quote/fee proposal
attached to form the entire agreement between parties and together they supersede any previous arrangements or agreements between them relating to the Project.
Our Services
We provide comprehensive building performance and sustainability services including:
• Energy and Sustainability
• Architecture and Design
• Project Delivery and Management
The basic services to be performed by Aldrock is described in the quote/fee proposal. Services cannot be
commenced until Aldrock are in receipt of the client’s agreement and instruction to proceed, which will take the form of the signed quote/fee proposal.
If any additional services outside the scope of the services detailed in the quote/fee proposal are performed by Aldrock the Client shall pay for the additional services separately at rates firstly to be agreed in writing between the parties.
Using Our Website
Permitted Use: You may use our website for legitimate business purposes, including:
• Researching our services and expertise
• Downloading resources and case studies
• Submitting enquiries and project briefs
• Accessing client portals (with authorisation)
Prohibited Activities: You must not:
• Use our website for unlawful purposes
• Attempt to gain unauthorised access to systems
• Transmit harmful code or malicious software
• Copy, reproduce, or redistribute our content without permission
• Use automated systems to harvest data from our site
Account Security: If you create an account for client portals or services:
• Keep login credentials secure and confidential
• Notify us immediately of any unauthorised access
• Ensure all information provided is accurate and up-to-date
• Accept responsibility for all activity under your account
Intellectual Property
All content on our website belongs to Aldrock or our licensors, including:
• Text, images, graphics, and downloadable resources
• Architectural drawings and technical documentation
• Methodologies, processes, and assessment frameworks
• The Aldrock name, logo, and branding
You may view and print content for personal or business evaluation purposes but may not reproduce, distribute, or commercially exploit our materials without written permission.
Service Engagement
Quotations and Proposals:
• All quotes are valid for 30 days unless stated otherwise
• Proposals remain our intellectual property until contract signature
• We reserve the right to withdraw or modify quotes before acceptance
• Prices exclude VAT unless stated otherwise
Professional Standards: Our services are delivered in accordance with:
• Relevant professional body standards (RICS, CIAT)
• Current building regulations and compliance frameworks
• Industry best practices and methodologies
• Our professional indemnity insurance requirements
Client Responsibilities: When engaging our services, you agree to:
• Provide accurate and complete project information
• Grant reasonable access to properties and documentation
• Respond promptly to requests for clarification or decisions
• Pay invoices in accordance with agreed terms
Neither the Client or the Architect shall assign or transfer any benefits or obligation conferred by the Appointment of Aldrock without the prior written consent of the other. Such consent shall not be unreasonably withheld or delayed. Where necessary, Aldrock reserve the right to outsource work. We shall take responsibility for the instruction of such services and payments of any fees, expenses or charges that are incurred.
Fees and Payment
Invoicing
• Aldrock may issue invoices monthly or at the end of agreed service stages (whichever is more frequent).
• On termination or suspension, Aldrock can charge a fair proportion of services delivered to date.
VAT
• All fees are exclusive of VAT, which must be paid in addition.
Payment Terms
• Payment is due within 14 days of invoice submission.
• Interest will apply on overdue amounts after 30 days, in line with the Late Payment of Commercial Debts Regulations 2013.
•Delays in payment may cause delays to project information flow.
• Aldrock reserves the right to withhold progression to subsequent project stages until previous fees are settled.
Release of Information
• Design/report information will not be released until the associated fee is paid in full.
• If reports are issued prior to payment, they are considered DRAFT only.
Design Approval & Changes
• Clients must formally approve design information at relevant stages.
• Significant changes requested after approval may incur additional fees.
• Where client requirements conflict with Aldrock’s recommendations, additional fees may apply if amendments are required.
Scope of Service
• Service is based on information:
-Provided by the client at quotation stage, and
-Available on site at the time of the visit.
• If the building size, equipment, services, or site access differ from what was quoted, this will result in additional costs/charges.
Limitation of Liability
Professional Services: Our liability is limited to the fullest extent permitted by law:
• Total liability for any project is limited to the lower of £1 million or the total fees paid
• We exclude liability for consequential or indirect losses
• Our liability period expires 6 years after service completion
• Professional indemnity insurance provides additional protection
Website Use: We provide our website "as is" and exclude liability for:
• Accuracy or completeness of information
• Website availability or technical issues
• Losses arising from website use
• Third-party website content accessed through our links
Exceptions: Nothing in these terms excludes liability for:
• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Breaches that cannot be limited by law
Privacy and Data Protection
We handle personal data in accordance with UK data protection law and our Privacy Policy.
By using our services, you acknowledge that we may process personal data for:
• Service delivery and client communication
• Regulatory compliance and professional requirements
• Business improvement and quality assurance
Complaints Procedure
We're committed to excellent service. If you have concerns:
Step 1 - Direct Contact:Contact your project manager or email us with details of your complaint.
Step 2 - Formal Review:We'll acknowledge complaints within 30 days and provide a detailed response without undue delay.
Step 3 - Independent Resolution:If unresolved, complaints may be referred to relevant professional bodies or alternative dispute resolution services.
Force Majeure
We're not liable for delays or failures caused by circumstances beyond our reasonable control, including:
• Natural disasters or extreme weather
• Government restrictions or regulatory changes
• Industrial action or supplier failures
• Pandemic restrictions or health emergencies.
Termination
We may suspend or terminate website access for:
• Breach of these terms
• Illegal or harmful activities
• Technical security reasons
Professional service contracts may be terminated:
• By mutual agreement
• For material breach with 30 days' notice
• For non-payment after reasonable notice
• In accordance with specific contract terms
Changes to Terms
We may update these terms to reflect:
• Legal or regulatory changes
• Service developments or improvements
• Business practice modifications
Changes will be notified through:
• Website publication with effective date
• Email notification to active clients
• Direct communication for ongoing projects
Consumer Rights
If you're a consumer (individual acting outside business purposes):
• These terms don't affect your statutory rights
• You have a 14-day cooling-off period for certain services
• Unfair terms may not be enforceable against you

Governing Law
These terms are governed by English law. Any disputes will be subject to the exclusive jurisdiction of English courts.

Our professional standards and conduct are governed by these bodies' codes of practice.
